COVEX S.A.

Covex S.A. is a Spanish chemical and pharmaceutical company which is primarily engaged in the business of the production and commercialization of API (active pharmaceutical ingredient(s)) raw materials, pharmaceutical products and dietary supplements, especially made of Vinca alkaloids. We commenced business relationship with Covex in 2009 and were granted the exclusive right to market, promote and sell its Vinpocetine API products in China.

To further enhance our business cooperation with Covex, with a view to maintaining our established relationship and improving our Company’s prospects for renewing or extending our exclusive right granted by Covex, We entered into a unit purchase agreement with Covex in 2012 and held approximately 24% equity interest in Covex. In order to enhance our direct influence over Covex, We entered into the share acquisition and debt acquisition agreement with Covex on 1 July 2014. We will acquire approximately 44.6% of the equity interest in Covex and will acquire most debts of Covex. Following completion of the share acquisition, We will hold approximately 68.6% of the equity interest in Covex. Covex will become a subsidiary of us and will be consolidated into the financial statements of us.

Vinpocetine

Vinpocetine is a derivative of Vincamine, naturally occurring in Crioceras longiflorus. Clinical studies suggest that it facilitates cerebral metabolism by improving cerebral blood flow, increasing glucose and oxygen utilization by neurons and concentration of neurotransmitters involved in the process of memory formation.

Clinical studies have also shown that Vinpocetine may help to maintain healthy microcirculation in the inner vital organs of ears and eyes. Research has shown that the effects of this compound go beyond mere prevention and turn it into a Powerful Memory Enhancer.

Vincamine

Vincamine is a purified extract of Vinca minor L. (Periwinkle plant). Used as a cerebral vasodilator for enhancing mental alertness, it increases blood flow to the brain and improves its oxygenation.

The original use of this plant goes back to European traditional home remedy with a series of various applications.
